Friendly Schools terms

1. Who we are and what these terms cover

1.1 These terms are an agreement between iyarn Pty Ltd (ABN 53 622 358 212) ("iyarn", "we", "us") and you. They apply when you visit or use the Friendly Schools website or app that iyarn runs, or buy a Friendly Schools product.

1.2 "You" means the school or organisation that buys, or the person who signs up for it. If you sign up for a school or organisation, you confirm that you have authority to accept these terms for it.

1.3 Our Privacy Policy at https://iyarn.com/privacy/ forms part of these terms.

1.4 You accept these terms when you sign up, pay, or use the product. If you do not agree to them or do not understand them, you must not use the product.

1.5 These terms are the agreement for Friendly Schools. The iyarn Terms and Conditions at https://iyarn.com/terms-and-conditions/ apply only where these terms say nothing. If the two conflict, these terms win.

1.6 In these terms:

(a) "the product" means the Friendly Schools website and app that iyarn runs, the staff review, yearly access, and the Friendly Schools content and software in them;

(b) "access period" means the 30 days of full access for the staff review (clause 4.3), or the 12 months of yearly access (clause 4.4);

(c) "fees" means the price you pay at checkout or the price on your quote; and

(d) "documentation" means any user guides, help articles or other written material we supply about the product.

2. Acknowledgement

2.1 The Friendly Schools content in the product carries this acknowledgement:

Friendly Schools™ content originally developed by Professor Dr Donna Cross, Erin Erceg, Dr Natasha Pearce, Shane Thompson, Stacey Waters, Melanie Epstein and Yolanda Pintabona, and informed by research conducted at Curtin University of Technology (1999 – 2002), Edith Cowan University (2003 – 2012) and The Kids Research Institute Australia, formerly known as Telethon Kids Institute (2014 – 2024).

2.2 The acknowledgement appears in the product, on exported PDFs and on this website. You must not remove or change it, or any other ownership notice or branding.

3. Accounts

3.1 To use the product you must create an account and give us accurate details. You must not use false details.

3.2 You must keep your password confidential and not share it with anyone.

3.3 You are responsible for everyone who uses the product through your account or your internet connection. Make sure they know these terms and follow them.

3.4 You must not try to get into another person's account or pretend to be someone else.

3.5 You must be 18 or over to hold an account.

4. What you can buy

4.1 Map the Gap staff review. This is a one off purchase of $20, including GST. It is not a subscription.

4.2 With the staff review you set up the review, share a link with your staff, and see the results. Staff answer through the link without an account. The Leadership Report becomes available once at least 5 staff have answered. The review shows your school its areas of opportunity. It does not limit which Friendly Schools resources you can use.

4.3 You have 30 days of full access from purchase. After that your results stay available while your account stays open, but you cannot start new work. You may keep viewing your results during that time.

4.4 Yearly whole school access. This is access for one school for 12 months from the start date on your quote or invoice. It includes only the items listed on your quote, which can include the Friendly Schools resource library, term planner, audit tool, staff team invitations and the staff review.

4.5 The yearly price depends on the size of your school: $3,000, $5,000 or $7,000, plus GST. The size band is shown on your quote.

4.6 Yearly access is sold by quote and invoice. It is not bought at an online checkout.

4.7 Nothing in these terms promises training, coaching or professional learning.

4.8 We may make reasonable changes to the product from time to time. If a change removes an item listed on your yearly quote, clause 7.3 applies. We will try to tell you about material changes on our website or by email.

5. Price, GST, payment and credit

5.1 All prices are in Australian dollars.

5.2 The $20 staff review price includes GST. Yearly prices are plus GST, so GST is added to the price on your quote.

5.3 You pay the $20 by card when you sign up. Payments are handled by our payment provider, Stripe, under its own terms and privacy policy.

5.4 For yearly access we issue an invoice when you accept the quote. Payment is due within 30 days.

5.5 We give you a tax invoice for each payment.

5.6 Credit. If we have given you a credit code, you enter it at checkout. The checkout page shows the reduced price before you pay. A credit:

(a) applies to the staff review only;

(b) has no cash value and is not refundable if you do not use it;

(c) cannot be combined with another offer; and

(d) ends on the date shown when we gave it to you.

6. Term, renewal and ending your access

6.1 The staff review is a one off purchase. Full access lasts 30 days as set out in clause 4.3, and it does not renew.

6.2 Yearly access lasts 12 months from the start date. It does not renew automatically. Renewal is by agreement, for example when you accept a new quote or confirm in writing.

6.3 You may close your account at any time in your account settings, under manage account. Export what you need before you close your account.

6.4 We may suspend access for routine, planned or emergency maintenance. Where we can, we will post notice of planned maintenance on our website.

6.5 Either party may end this agreement if the other commits a material breach and does not fix it within 30 days of written notice.

6.6 If we end your access under clause 6.5, any licence we have given you ends and you must stop using the product. While a breach is not fixed, we may suspend your access if it puts the product or other users at risk, and we will tell you why. If we give you notice under clause 6.5, you may export your results during the notice period.

6.7 Export what you need before you close your account. While your account stays open, your results stay available to you, including after yearly access ends.

7. Refunds and your consumer rights

7.1 Our services come with guarantees under the Australian Consumer Law that cannot be excluded. Nothing in these terms limits your rights or remedies under that law or any other law.

7.2 Staff review: you get a full refund of what you paid if you ask within 14 days of purchase and the review has not been sent to staff. Apart from that, you get a refund only where the Australian Consumer Law gives you one.

7.3 Yearly access: you get a refund where the Australian Consumer Law gives you one. If we cannot provide the product you paid for, we will refund the unused part of the term.

7.4 To ask for a refund, email hello@friendlyschools.com.au with your account email and what went wrong. We will reply within 5 business days.

8. Your licence and how you may use the product

8.1 Subject to payment of the fees, we grant you a non-exclusive, non-transferable licence to use the product, including the Friendly Schools content, during your access period for your own internal educational purposes with your enrolled students and staff, in accordance with these terms and the documentation.

8.2 You may buy the staff review for yourself, and not through a school, only if you work at a school and are 18 or over. You confirm this when you buy. You also confirm that you are school staff and that your school allows you to run the review with its staff. You also confirm you have your school's authority to give the consent in clause 11 for it. You will use the product only for that school's internal educational purposes. Yearly access is for schools only.

8.3 You may print content from the product for your own school use.

8.4 You may use the product only for your internal educational purposes with enrolled students and staff, and only as enabled by us and described in the documentation. You must not, and must not let anyone else:

(a) modify, adapt, translate, localise, port or create derivative works from the product or any part of it, including the Friendly Schools content;

(b) remove or change proprietary notices, branding or the acknowledgement;

(c) merge or bundle the product with other products for onward supply;

(d) sub-licence, resell, publicly distribute or give the product to anyone outside your school community;

(e) reverse engineer, decompile or try to get at the source code;

(f) scrape or bulk extract Friendly Schools content for use outside the product;

(g) use the product unlawfully or in a way that infringes anyone's rights;

(h) access the product by automated means; or

(i) do anything that could impair the product or other people's access to it.

8.5 You may still change settings, templates, check-in schedules and other options that are made for users to set.

8.6 This licence does not give you ownership of the Friendly Schools content or our software, or any right to public redistribution or custom development.

8.7 You must not create content that is obscene, discriminatory, threatening, offensive, defamatory or abusive, that breaches confidence or privacy, or that breaks the law or anyone's intellectual property. We may remove content that breaks these terms.

8.8 Links to other websites are not endorsed by us, and you use them at your own risk.

9. Staff review responses and anonymity

9.1 Staff answer the staff review through a link without an account. We do not ask for, or store with the answer, a name or email address.

9.2 Anonymous does not mean no one could ever work out who wrote something. Answers are collected without names. In a small staff group, people who know the group may be able to guess whose answers are whose. The account holder sees the results and any comments staff type, and a comment may show the date it was sent. Tell your staff not to put names or identifying details in comments.

9.3 You must not try to find out who gave an answer.

9.4 You must tell your staff about the review, how their answers will be used, and that taking part is their choice.

10. Your data and privacy

10.1 You keep ownership of your school's data and of the content you create or upload. Your school owns its data.

10.2 You give us a non-exclusive licence to store, copy and display your content only to operate, secure and support the product, and as described in our Privacy Policy. This licence ends when your content is deleted or your account closes, except where we must keep limited data by law or in backups.

10.3 Personal wellbeing information, including check-in responses, scores, comments and survey responses, is handled under our Privacy Policy. It is never sold or used for marketing.

10.4 We collect only what is needed to run the product and its reports.

10.5 Access is role based, so staff see only what they need.

10.6 If an incident affects your data, we will tell you at the email address on your account without undue delay.

10.7 You can export your school's results from the product while your account is open.

10.8 Our Privacy Policy explains where data is stored and lists our sub-processors. You promise that you own or are licensed to use the content you give us and that it does not infringe anyone's rights.

11. Consent to research use of de-identified data

11.1 As part of this agreement, your school consents to iyarn using and securely sharing de-identified data generated through your school's use of the product with the Friendly Schools research partner, The Kids Research Institute Australia (formerly Telethon Kids Institute) for the purposes of Friendly Schools-related research and evaluation projects.

11.2 In this clause, "de-identified" means:

(a) No student or staff names or direct identifiers are shared; and

(b) Survey & check In results cannot reasonably be used to identify an individual student or staff member.

11.3 The purposes of this research may include:

(a) Evaluating and improving the Friendly Schools program and digital tools;

(b) Contributing to evidence-based research on student well-being and school climate; and

(c) Preparing reports, presentations and publications that use only de-identified or aggregated data.

11.4 Nothing in this section changes the fact that your school remains the owner of its data. If your school wishes to withdraw this consent for future data, you can notify iyarn in writing at any time, and iyarn will stop providing new de-identified data for research use from the date of that notice.

12. Ownership

12.1 All intellectual property rights in the product, including the iyarn software, the Friendly Schools content and the documentation, are owned by their respective rights holders and are licensed, not sold, to you under these terms. The iyarn software and all improvements are owned by iyarn. You retain rights in your school's data and your own materials. No ownership is transferred by these terms.

13. Wellbeing and safeguarding

13.1 The product is a tool for connection, check-ins and planning. It is not a medical or clinical tool and is not a substitute for professional care. You must follow your school's wellbeing, safeguarding and escalation procedures and the law.

13.2 The product does not watch answers as they come in, and it does not detect or report a child or adult at risk. We do not promise that it will.

13.3 If anyone is in immediate danger, call 000.

14. Support and service

14.1 We provide email support during school hours at hello@friendlyschools.com.au. We aim to reply to a first request within 2 business days.

14.2 We may release fixes and improvements and make them available when they are generally released.

14.3 To the extent the law allows, we do not promise that the product will always be available, uninterrupted or without errors. You are responsible for having a suitable device and internet connection.

14.4 We provide our services with due care and skill.

15. Liability

15.1 Nothing in these terms excludes, restricts or changes any right or remedy you have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) or any other law that cannot be excluded.

15.2 We confirm that we have the right to license the product to you.

15.3 To the extent the law allows, neither of us is liable to the other for indirect or consequential loss.

15.4 To the extent the law allows, each party's total liability under these terms is capped at the fees you have paid in the 12 months before the claim. This does not apply to liability that cannot be limited by law, such as personal injury caused by negligence, or to wilful misconduct. The Australian Consumer Law guarantees are not affected by this clause. Where that law allows us to limit our liability to resupplying the service, we choose to do that.

15.5 We are not responsible for a failure or delay caused by something beyond our reasonable control.

16. Changes to these terms

16.1 We may change these terms by giving you written notice. For a material change we will tell registered users by email or a prominent notice in the product at least 14 days before it starts, and post the new terms on our website. If you do not accept a material change, you may end your access before it starts and close your account, and we will refund the unused part of any yearly access you paid for.

16.2 Any change to a written quote or order agreed between us must be in writing.

17. General

17.1 These terms, our Privacy Policy and any quote or order you accept are the entire agreement between us about the product, and replace earlier discussions about it.

17.2 You may not assign these terms without our written consent, which we will not unreasonably withhold. We may assign them to a related company or in a re-organisation.

17.3 If part of these terms is invalid or cannot be enforced, the rest still applies.

17.4 If we do not enforce a breach straight away, we have not given up our right to do so later.

17.5 We may send formal notices to the contacts and email addresses you gave us. You may send notices to hello@friendlyschools.com.au, or by post to iyarn Pty Ltd, Level 29 Chifley Tower, 2 Chifley Square, Sydney NSW 2000, attention Website Administrator.

18. Governing law

18.1 These terms are governed by the laws of Western Australia, and each party submits to the non-exclusive jurisdiction of its courts.
